13 付款條件：
買方須于_____年_____月_____日將保兌的，不可撤銷的.，可轉(zhuǎn)讓可分割的即期信用證開到賣方。 信用證議付有效期延至上列裝運(yùn)期后15天在中國到期，該信用證中必須注明允許分運(yùn)及轉(zhuǎn)運(yùn)。
Payment：
By confirmed, irrevocable, transferable and divisible L/C to be available by sight draft to reach the sellers before ___/___/_____ and to remainvalid for ingotiation in China until 15 days after the aforesaid time of shipment. Tje L/C must specify that transhipment and partial shipments are allowed.

17 人力不可抗拒因素：
由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。
Force Majeure：
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18 仲裁：
在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際貿(mào)易促進(jìn)委員會(huì)對外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
由乙方負(fù)責(zé)搬走。由乙方增加的裝修(包括新增固定的隔墻、窗、燈具、門及其他拆卸后會(huì)損壞室內(nèi)狀況的情況等)乙方不得拆除，以免破壞室內(nèi)的裝修狀況。(或由雙方根據(jù)當(dāng)時(shí)的實(shí)際情況協(xié)商處理)
八、轉(zhuǎn)租、轉(zhuǎn)讓和交換 8-1乙方在租賃期內(nèi)，需事先征得甲方的書面同意，方可將該房屋部分或全部轉(zhuǎn)租給他人。 8-2 乙方轉(zhuǎn)租該房屋，應(yīng)按規(guī)定與受租方訂立書面的轉(zhuǎn)租合同。并按規(guī)定由甲方(或甲方委托乙方)向上海_______區(qū)房地產(chǎn)交易中心辦理登記備案。 8-3 在租賃期內(nèi)，乙方將該房屋轉(zhuǎn)讓給他人承租或與他人承租的房屋進(jìn)行交換，必須事先征得甲方書面同意。轉(zhuǎn)讓或交換后，該房屋承租權(quán)的受讓人或交換人應(yīng)與甲方簽訂租賃主體變更合同并繼續(xù)履行本合同。 8-4 在租賃期內(nèi)，甲方如需出售該房屋，應(yīng)提前____個(gè)月通知乙方。乙方在同等條件下有優(yōu)先購買權(quán)。根據(jù)國家法律，甲方出售本房屋給第三人后，本合同繼續(xù)有效。
